To expand on what the others are saying:
Check the name of your CPU, and find out its socket type (google). Your new mobo will need to support this socket type. RAM is usually easier to carry over. If I recall it's mostly about whether or not your memory is DDR2/DDR3 and if your new mobo accepts it. Even if not new RAM sticks are really cheap even at mid-end price ranges.
